These Terms & Conditions ("Terms") govern your use of the TrustForge Solutions website and any services provided by TrustForge Solutions ("we", "us", "our"). By accessing our website or engaging our services you agree to these Terms.
1. Services
TrustForge Solutions provides IT services including SaaS development and operation, software and web development, IT consulting, marketing and growth services, automation and AI solutions, and custom business solutions. Specific scope, deliverables, timelines, and pricing are documented in a written proposal, statement of work, or master services agreement signed by both parties.
2. Eligibility
Our services are intended for businesses, organizations, and individuals at least 18 years of age. You represent that you have the authority to enter into a binding agreement on behalf of your organization.
3. Fees and payment
- All fees are stated in U.S. dollars (USD) unless otherwise specified in a written agreement.
- Monthly retainers are billed in advance; project work is invoiced per milestone or as agreed in writing.
- Accepted payment methods include major credit and debit cards, ACH transfers, and bank wire.
- Invoices are due within the terms stated on the invoice (typically Net 14). Late payments may incur reasonable late fees and may result in suspension of services.
4. Client responsibilities
- Provide timely access to information, accounts, and decision-makers required to perform the services.
- Review deliverables and provide feedback within agreed timeframes.
- Maintain ownership and appropriate licensing for any materials, brand assets, or third-party services you provide.
- Comply with all applicable laws when using our services.
5. Intellectual property
Unless otherwise agreed in writing, upon full payment for a deliverable, the client receives ownership of custom work product produced specifically for them. TrustForge Solutions retains ownership of pre-existing tools, frameworks, and general know-how. We may reference completed work in our portfolio in a manner that does not disclose confidential information.
6. Confidentiality
Each party agrees to protect the other party's confidential information and to use it only for purposes of the engagement. Confidentiality obligations survive termination of the engagement.
7. Acceptable use of the website
You agree not to misuse our website, including attempting unauthorized access, interfering with site operation, or using the site to transmit harmful, illegal, or infringing content.
8. Third-party services
Our deliverables may rely on or integrate with third-party services (e.g. cloud providers, payment processors, analytics platforms). Use of those services is subject to the third party's terms and pricing.
9. Warranties and disclaimers
We provide services with reasonable skill and care. Except as expressly stated in a written agreement, services and website content are provided "as is" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, TrustForge Solutions's aggregate liability for any claim arising out of or related to the services or website will not exceed the fees paid to us during the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
11. Termination
Either party may terminate an engagement in accordance with the applicable written agreement. Upon termination, you remain responsible for fees for services rendered through the effective date of termination.
12. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of laws principles. Disputes will be brought in the state or federal courts located in Allegheny County, Pennsylvania.
13. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the "last updated" date on this page.
